{"id":112480,"date":"2016-12-09T15:13:12","date_gmt":"2016-12-09T21:13:12","guid":{"rendered":"http:\/\/csinewsnow.com\/?p=112480"},"modified":"2016-12-09T16:27:38","modified_gmt":"2016-12-09T22:27:38","slug":"terms-of-thompsons-resignation-agreement-with-city","status":"publish","type":"post","link":"https:\/\/csinewsnow.com\/?p=112480","title":{"rendered":"Terms of Thompson&#8217;s resignation agreement"},"content":{"rendered":"<p><img loading=\"lazy\" decoding=\"async\" class=\"alignleft size-medium wp-image-12376\" src=\"http:\/\/csinewsnow.com\/wp-content\/uploads\/2013\/02\/VCPD-Thompson-300x202.jpg\" alt=\"VCPD-Thompson\" width=\"300\" height=\"202\" srcset=\"https:\/\/csinewsnow.com\/wp-content\/uploads\/2013\/02\/VCPD-Thompson-300x202.jpg 300w, https:\/\/csinewsnow.com\/wp-content\/uploads\/2013\/02\/VCPD-Thompson-259x175.jpg 259w, https:\/\/csinewsnow.com\/wp-content\/uploads\/2013\/02\/VCPD-Thompson.jpg 445w\" sizes=\"auto, (max-width: 300px) 100vw, 300px\" \/>Valley City\u00a0 (CSi)\u00a0 The terms of the resignation agreement between the City of Valley City and (Former) Police Chief Fred Thompson were released on Friday.<\/p>\n<p>Highlights of the agreement include that\u00a0 Thompson receives a severance pay of $110,000 on January 3rd 2017, and that Thompson will have no duties or authority to act as the Chief of Police in Valley City.<\/p>\n<p>On December 8th,\u00a0<a href=\"http:\/\/csinewsnow.com\/?p=112343\"> meeting in Special Session <\/a>the Valley City commission unanimously approved\u00a0 a resignation agreement with\u00a0 Thompson.<\/p>\n<p>The 7-a.m. meeting was recorded by CSi Cable with the replay on CSi Cable 68, along with the Regular Session that was held on Wednesday evening.<\/p>\n<p>At the August 15, 2016\u00a0<a href=\"http:\/\/csinewsnow.com\/?p=105855\"> City Commission meeting,<\/a> the City Commission officially recognized the continued employment of Police Chief Thompson and that a previous resignation letter by Thompson submitted<strong>\u00a0 <\/strong>in October of 2015,\u00a0 effective January 15, 2016 was not formally accepted by the City Commission.<\/p>\n<p>&nbsp;<\/p>\n<p>Terms of the December 2016 resignation agreement:<\/p>\n<p>This Settlement and Release Agreement (&#8220;Agreement&#8221;) is entered<\/p>\n<p>into by and between Fred J. Thompson (Chief Thompson), 465 5th Ave.<\/p>\n<p>SW\u00a0 Valley City\u00a0 North Dakota, and City of Valley City<\/p>\n<p>including its present and former officers, employees,<\/p>\n<p>commissioners, agents, attorneys, and insurers and any of them<\/p>\n<p>whether in their individual or official capacity (collectively 11 the<\/p>\n<p>City&#8221;) .<\/p>\n<ol>\n<li>Chief Thompson was appointed the Chief of Police of The<\/li>\n<\/ol>\n<p>City of Valley City, North Dakota, on July 9, 2012, and<\/p>\n<p>has served as the City&#8217;s Chief of Police since then.<\/p>\n<ol>\n<li>Chief Thompson and the City desire to enter into a<\/li>\n<\/ol>\n<p>severance agreement related to Chief Thompson&#8217;s<\/p>\n<p>employment with the City.<\/p>\n<ol>\n<li>Chief Thompson and the City understand this Agreement<\/li>\n<\/ol>\n<p>settles all claims against the other whether known or<\/p>\n<p>unknown related to Chief Thompson&#8217;s employment with the<\/p>\n<p>City.<\/p>\n<p>NOW\u00a0 THEREFORE\u00a0 for good and valuable consideration1 the<\/p>\n<p>receipt and sufficiency of which is hereby acknowledged, the City<\/p>\n<p>and Chief Thompson agree as follows:<\/p>\n<ol>\n<li>Mutual General Release and Discharge. In consideration for<\/li>\n<\/ol>\n<p>the Payment described in Section 3 and all other terms of this<\/p>\n<p>Agreement as set forth herein, the parties for themselves and their<\/p>\n<p>heirs, administrators, personal representatives, legal<\/p>\n<p>representatives, officers, staff, agents, assigns and successors,<\/p>\n<p>and each of them, hereby completely releases and forever discharges<\/p>\n<p>each other, including present and former officers, employees,<\/p>\n<p>commissioners, agents 1 attorneys, and insurers of the City, and<\/p>\n<p>each of the foregoing persons, heirs, assigns 1 administrators and<\/p>\n<p>successors, or any of them, of and from any and all liabilities,<\/p>\n<p>claims, demands, obligations, actions, causes of action, rights,<\/p>\n<p>damages, costs, interest, expenses and compensation of any nature<\/p>\n<p>whatsoever, whether or not now known or contemplated, whether based<\/p>\n<p>on a tort, contract, or any other theory of recovery under the<\/p>\n<p>Constitution of the United States, the Constitution of the State of<\/p>\n<p>North Dakota, any Federal statute or Federal law or regulation, any<\/p>\n<p>law of the State of North Dakota or any other theory of recovery<\/p>\n<p>which Chief Thompson now has, or which arose out of conditions or<\/p>\n<p>any way is connected with Chief Thompson&#8217;s employment with the City<\/p>\n<p>from the beginning of time to the Effective Date of this Agreement.<\/p>\n<p>Chief Thompson understands that by releasing any and all legal<\/p>\n<p>claims against the City, he is releasing all of his rights to bring<\/p>\n<p>any claims against the City based on any actions, decisions, or<\/p>\n<p>events occurring through the date of his signing this Agreement,<\/p>\n<p>including claims related to the terms and conditions of his<\/p>\n<p>employment. Chief Thompson&#8217;s release includes any claims based<\/p>\n<p>upon:<\/p>\n<ol>\n<li>Federal, state or local employment discrimination laws,<\/li>\n<\/ol>\n<p>regulations or requirements, including but not limited to<\/p>\n<p>North Dakota state law Title VII of the Civil Rights Act<\/p>\n<p>of 1964, as amended (42 U.S.C. \u00a7 2000e, et seq.) <em>i <\/em>42<\/p>\n<p>U.S.C. \u00a7 1981i the Age Discrimination in Employment Act<\/p>\n<p>(29 u.s.c. \u00a7 621, et seq.); the Family Medical Leave Act<\/p>\n<p>(29 U.S.C. \u00a7 2611, et seq.); the Americans with<\/p>\n<p>Disabilities Act (42 U.S.C. \u00a7 12101 et seq.); the Fair<\/p>\n<p>Labor Standards Act (29 U.S.C. \u00a7 20, et seq.); the<\/p>\n<p>Employee Retirement Income Security Act of 1974, as<\/p>\n<p>amended (29 U.S.C. \u00a7 1001, et seq.); violation of public<\/p>\n<p>policy, invasion of privacy, and whistle blower action;<\/p>\n<ol>\n<li>Fiduciary and other claims under the Employee Retirement<\/li>\n<\/ol>\n<p>Income Security Act, 29 U.S.C. \u00a7 1001, et seq. (except<\/p>\n<p>this does not waive Chief Thompson&#8217;s rights to his vested<\/p>\n<p>benefits under the City&#8217;s retirement plan, if any):<\/p>\n<ol>\n<li>Any other statute, ordinance, or regulation;<\/li>\n<li>Any contract, quasi-contract or promissory estoppel;<\/li>\n<li>Any tort, including<\/li>\n<\/ol>\n<p>misrepresentation, fraud,<\/p>\n<p>distress, or defamation; or<\/p>\n<p>wrongful<\/p>\n<p>infliction<\/p>\n<p>discharge,<\/p>\n<p>of emotional<\/p>\n<ol>\n<li>Any other theory, whether developed or undeveloped.<\/li>\n<\/ol>\n<p>Nothing contained herein, however, shall be construed to<\/p>\n<p>prohibit Chief Thompson from filing a charge with the Equal<\/p>\n<p>Employment Opportunity Commission, however, Chief Thompson&#8217;s<\/p>\n<p>release contained in this Section includes a release of his right<\/p>\n<p>to file a court action or to seek individual remedies or damages in<\/p>\n<p>any Equal Employment Opportunity filed court action, and Chief<\/p>\n<p>Thompson&#8217;s release of these rights shall apply with full force and<\/p>\n<p>effect to any proceedings arising from or relating to such a<\/p>\n<p>charge. Chief Thompson further agrees that he will not institute<\/p>\n<p>any claim for damages, by charge or otherwise, nor will he<\/p>\n<p>authorize any other party, governmental or otherwise, to institute<\/p>\n<p>any claims for damages via administrative or legal proceedings<\/p>\n<p>against the City. Chief Thompson also waives the right to money<\/p>\n<p>damages or other legal or equitable relief awarded by any<\/p>\n<p>government agency related to any such claim.<\/p>\n<p>The City and its present and former officers, employees,<\/p>\n<p>commissioners, agents, attorneys, and insurers release Chief<\/p>\n<p>Thompson from any and all liabilities, claims, demands,<\/p>\n<p>obligations, actions, causes of action, rights, damages, costs,<\/p>\n<p>interest, expenses and compensation of any nature whatsoever,<\/p>\n<p>whether or not now known or contemplated, whether based on a tort,<\/p>\n<p>contract, or any other theory of recovery under the Constitution of<\/p>\n<p>the United States, the Constitution of the State of North Dakota or<\/p>\n<p>any other theory of recovery which the City now has, or which arose<\/p>\n<p>out of conditions or any way in connected with Chief Thompson&#8217;s<\/p>\n<p>employment with the City from the beginning of time to the<\/p>\n<p>Effective Date of this Agreement.<\/p>\n<p>This Agreement shall be fully and completely binding and a<\/p>\n<p>complete settlement between Chief Thompson, the City, and their<\/p>\n<p>heirs, executors, administrators, personal representatives, legal<\/p>\n<p>representatives, assigns and successors. It is the intention of<\/p>\n<p>all parties that with the execution of this Agreement, the City and<\/p>\n<p>Chief Thompson will be absolutely, unconditionally and forever<\/p>\n<p>released from all claims and obligations related to the matters<\/p>\n<p>discharged herein.<\/p>\n<ol start=\"2\">\n<li>Resignation of City Employment. Chief Thompson&#8217;s<\/li>\n<\/ol>\n<p>relationships, agreements, and contracts with the City including,<\/p>\n<p>but not limited to Chief Thompson&#8217;s status as an employee, as well<\/p>\n<p>as any obligations of the City pursuant to contracts or agreements<\/p>\n<p>which are not specified herein with the specific exception of<\/p>\n<p>vested ERISA benefits, ends on January 3, 2017. Except as otherwise<\/p>\n<p>provided in this Agreement, all benefits and privileges of<\/p>\n<p>employment end as of the close of business on that date except as<\/p>\n<p>specifically provided in this Agreement.<\/p>\n<ol start=\"3\">\n<li>Payment. In connection with Chief Thompson&#8217;s resignation,<\/li>\n<\/ol>\n<p>the City will pay to Chief Thompson severance in the amount of One<\/p>\n<p>Hundred Ten Thousand Dollars ($110,000.00) on January 3, 2017.<\/p>\n<p>These payments do not include any other benefits Chief<\/p>\n<p>Thompson had while an employee of the City unless otherwise<\/p>\n<p>outlined in this Agreement. Further, Chief Thompson acknowledges<\/p>\n<p>that Chief Thompson is not entitled to these payments unless Chief<\/p>\n<p>Thompson signs this Agreement and that the payments will be made to<\/p>\n<p>him on the later of the expiration of the periods of acceptance and<\/p>\n<p>rescission as outlined in this Agreement and January 3, 2017.<\/p>\n<ol start=\"4\">\n<li>Vacation. Chief Thompson will be on vacation from the date<\/li>\n<\/ol>\n<p>the City approves this Agreement until January 3, 2017, and paid<\/p>\n<p>salary and benefits until January 3, 2017; provided however, Chief<\/p>\n<p>Thompson will have no duties and obligations as Chief of Police and<\/p>\n<p>no authority to act as Chief of Police through January 3, 2017<\/p>\n<ol start=\"5\">\n<li>COBRA. Chief Thompson agrees that his resignation from the<\/li>\n<\/ol>\n<p>City is a qualifying event which commences Chief Thompson&#8217;s right<\/p>\n<p>for continuance of applicable group health insurance at Chief<\/p>\n<p>Thompson&#8217;s own expense and within the provisions of the<\/p>\n<p>Consolidated Omnibus Budget Reconciliation Act (COBRA) .<\/p>\n<ol start=\"6\">\n<li>Group Life Insurance. If Chief Thompson wishes to continue<\/li>\n<\/ol>\n<p>at his expense his term life insurance policy from and after<\/p>\n<p>January 3, 2017, Chief Thompson should contact a representative of<\/p>\n<p>3<\/p>\n<p>Fort Dearborn Life through its local representative.<\/p>\n<ol start=\"7\">\n<li>Other Deductions. It is Chief Thompson&#8217;s responsibility to<\/li>\n<\/ol>\n<p>make arrangements to directly pay any amounts now being deducted<\/p>\n<p>from his pay check if he wishes to continue to continue paying<\/p>\n<p>them.<\/p>\n<ol start=\"8\">\n<li>Acceptance Period. The terms of this Agreement will be open<\/li>\n<\/ol>\n<p>for acceptance by Chief Thompson for a period of twenty-one (21)<\/p>\n<p>days or Chief Thompson may in writing waive them. During that time<\/p>\n<p>Chief Thompson may consider whether or not to accept this Agreement<\/p>\n<p>and consult Chief Thompson&#8217;s counsel to advise him regarding the<\/p>\n<p>same. Chief Thompson agrees that changes to this Agreement, whether<\/p>\n<p>material or immaterial, will not restart this acceptance period.<\/p>\n<ol start=\"9\">\n<li>No Disparagement. The parties mutually understand and agree<\/li>\n<\/ol>\n<p>this Agreement is in their mutual best interests. Both parties<\/p>\n<p>agree that they will not disparage the other.<\/p>\n<ol start=\"10\">\n<li>Right to Rescind or Revoke. Chief Thompson has the right<\/li>\n<\/ol>\n<p>to revoke this Agreement only insofar as it extends to potential<\/p>\n<p>claims under the Age Discrimination in Employment Act by informing<\/p>\n<p>the City of his intent to revoke this Agreement within seven (7)<\/p>\n<p>calendar days following his execution of it. To be effective, any<\/p>\n<p>such rescission must be in writing and hand-delivered to Russell J.<\/p>\n<p>Myhre, 341 Central Avenue North, Suite 3, Valley City, ND 58072, or<\/p>\n<p>if sent by mail, postmarked within the applicable time period, sent<\/p>\n<p>by certified mail, return receipt requested, to the same address.<\/p>\n<p>Chief Thompson agrees that if he exercises any right of rescission<\/p>\n<p>or revocation, the City may at its option either nullify this<\/p>\n<p>Agreement in its entirety or keep it in effect as to all claims not<\/p>\n<p>rescinded or revoked in accordance with the rescission or<\/p>\n<p>revocation provisions of this Agreement. In the event the City opts<\/p>\n<p>to nullify the entire Agreement, neither Chief Thompson nor the<\/p>\n<p>City will have any rights or obligations whatsoever under this<\/p>\n<p>Agreement. The payments specified in Section 3 shall be paid on<\/p>\n<p>January 3, 201 7, provided Chief Thompson has not rescinded the<\/p>\n<p>Agreement as outlined in Section 3 and the City&#8217;s attorneys have<\/p>\n<p>received a fully executed original Agreement signed by Chief<\/p>\n<p>Thompson and his attorneys.<\/p>\n<ol start=\"11\">\n<li>Communication to Others. The parties agree to have no<\/li>\n<\/ol>\n<p>communication with the media over Chief Thompson&#8217;s resignation from<\/p>\n<p>the City other than the fact Chief resigned as of the date of this<\/p>\n<p>Agreement under mutually amicable circumstances. Both parties agree<\/p>\n<p>to not post and\/or provide any responsive information regarding the<\/p>\n<p>other on any blog, chat or posting, or other paper or electronic<\/p>\n<p>communication or have anyone on their behalf post and\/or provide<\/p>\n<p>information on any blog, chat or posting, or other paper or<\/p>\n<p>electronic communication.<\/p>\n<p>4<\/p>\n<ol start=\"12\">\n<li>Non-Admission of Liability. This Agreement is a severance<\/li>\n<\/ol>\n<p>agreement and it is intended to include the compromise of disputed<\/p>\n<p>claims, if any, and no actions taken by the parties, either<\/p>\n<p>previously or in connection with this Agreement, shall be deemed or<\/p>\n<p>construed to be an admission of any matter or of any liability.<\/p>\n<ol start=\"13\">\n<li>Effective Date. This Agreement does not become effective<\/li>\n<\/ol>\n<p>until Chief Thompson&#8217;s signs a written waiver or the time period<\/p>\n<p>for rescinding or revoking this Agreement expires.<\/p>\n<ol start=\"14\">\n<li>Return of City Property. Chief Thompson will return all<\/li>\n<\/ol>\n<p>City property that is in his possession prior to any payments being<\/p>\n<p>made to him. In addition, Chief Thompson will provide the City with<\/p>\n<p>all security codes and safe combinations. Chief Thompson<\/p>\n<p>acknowledges that the City has delivered to him all of his personal<\/p>\n<p>possessions from the City premises.<\/p>\n<ol start=\"15\">\n<li>Agreement Regarding No Right to Future Employment. Chief<\/li>\n<\/ol>\n<p>Thompson agrees that he will not at any time in the future bring a<\/p>\n<p>claim against the City for any failure to offer him future<\/p>\n<p>employment or failure to accept from him an application for future<\/p>\n<p>employment with the City.<\/p>\n<ol start=\"16\">\n<li>Governing Law\/Severability. This Agreement shall be<\/li>\n<\/ol>\n<p>governed by the laws of the State of North Dakota. If any part of<\/p>\n<p>this Agreement is construed to be in violation of any law, such<\/p>\n<p>part shall be modified to achieve the objective of the parties to<\/p>\n<p>the fullest extent permitted and the balance of this Agreement<\/p>\n<p>shall remain in full force and effect.<\/p>\n<ol start=\"17\">\n<li>No Assignment. This Agreement is personal to Chief<\/li>\n<\/ol>\n<p>Thompson and may not be assigned by Chief Thompson. The payment to<\/p>\n<p>be provided to Chief Thompson shall be made to Chief Thompson&#8217;s<\/p>\n<p>estate in the event of Chief Thompson&#8217;s death prior to Chief<\/p>\n<p>Thompson&#8217;s receipt thereof.<\/p>\n<ol start=\"18\">\n<li>Advice and Clarity. Chief Thompson acknowledges and states<\/li>\n<\/ol>\n<p>that he has read this Agreement and has been advised to consult an<\/p>\n<p>attorney prior to signing this Agreement. Chief Thompson further<\/p>\n<p>represents that this Agreement is written in language that is<\/p>\n<p>understandable to him and that he fully appreciates the meaning of<\/p>\n<p>its terms and that he enters into this Agreement fully and<\/p>\n<p>voluntarily. This Agreement has been negotiated by the parties.<\/p>\n<p>Chief Thompson warrants, represents and agrees that he is not<\/p>\n<p>relying on the advice of the City, its counsel, or anyone<\/p>\n<p>associated with them as to the legal and income tax or other<\/p>\n<p>consequences of any kind arising out of this Agreement. Chief<\/p>\n<p>Thompson further represents that at the time of entering into this<\/p>\n<p>Agreement he is competent and not under any medication which would<\/p>\n<p>adversely affect or impair his mental abilities or respective<\/p>\n<p>abilities to comprehend the terms of this Agreement. Chief Thompson<\/p>\n<p>represents that there was no coercion, duress, or other unlawful<\/p>\n<p>5<\/p>\n<p>influence which caused him to enter into this Agreement.<\/p>\n<p>19 . Counterparts. This Agreement may be executed in<\/p>\n<p>counterparts, each of which shall be deemed to be one and the same<\/p>\n<p>instrument.<\/p>\n<ol start=\"20\">\n<li>Entire Agreement. Chief Thompson agrees that this<\/li>\n<\/ol>\n<p>Agreement constitutes the entire understanding between Chief<\/p>\n<p>Thompson and the City with respect to Chief Thompson&#8217;s resignation<\/p>\n<p>and that there are no other promises or understandings with respect<\/p>\n<p>to Chief Thompson&#8217;s retirement. Any modification of or addition to<\/p>\n<p>this Agreement must be in Writing signed by Chief Thompson and the<\/p>\n<p>City.<\/p>\n<ol start=\"21\">\n<li>ACKNOWLEDGMENT. CHIEF THOMPSON AFFIRMS THAT CHIEF THOMPSON<\/li>\n<\/ol>\n<p>HAS READ THIS AGREEMENT AND HAS BEEN ADVISED TO CONSULT WITH AN<\/p>\n<p>ATTORNEY PRIOR TO SIGNING THIS AGREEMENT.
